[ 新製品・サービス ] 電子契約クラウド「クラウドサイン」の開発ロードマップ、当事者間の電子署名も可能に 2021年1月21日(木) 日川 佳三（IT Leaders編集部） 弁護士ドットコムは2021年1月21日、クラウド型の電子契約システム「クラウドサイン」における2021年の開発ロードマップを発表した。事業者による代理署名だけでなく当事者による署名を可能にする機能、契約書類を管理するキャビネット機能、取引先からの契約書の受信時に承認ワークフローを動かす機能、などを提供する。 弁護士ドットコムの「クラウドサイン」は、クラウド型の電子契約システムである。電子的な契約書をオンライン上でやり取りすることによって、取引先との間で契約書を締結できるサービスである。紙の契約書を用いた契約よりも短時間で契約を交わすことができる。 電子契約で必要になる電子署名は、契約を取り交わす当事者の代わりに、事業者であるクラウドサインが実施する。総務省、法務省、経済産業省は2020年9月、クラウドサインの規格は電子署名法から見て有効だとする基準を示した。 2021年には、いくつかの機能を追加する（ 図1 ）。 図1：2021年に「クラウドサイン」に追加する主な機能（出典：弁護士ドットコム） 拡大画像表示 事業者による電子署名だけでなく、契約の当事者みずから電子署名を行えるようにする機能を追加する（ 図2 ）。マイナンバーカードが搭載している電子署名用の電子証明書を利用する。これにより、印鑑証明など公的機関の証明や実印が必要な個人との契約締結をクラウドサインによって電子化できる。 図2：マイナンバーカード（電子署名用の電子証明書）を利用した契約当事者間の電子署名も利用できるようにする（出典：弁護士ドットコム） 拡大画像表示 契約書類を受信した際にワークフローを動かす機能を追加する。取引先企業から契約書を受信した時に、本来は権限を持っていないユーザーが契約書の受信して契約を交わしてしまう、といったことが起こらないようにする。これまでも、契約書の送信時にはワークフロー機能を使えていた。今後は、契約書の受信時もワークフロー機能を使えるようにする。 契約書類を管理するキャビネット機能を追加する。従来の文書管理では、組織構造に応じてファイルのアクセス権限を設定していた。このため、ある書類について、法務部門からは参照できるが事業部門からは参照できないといった状況が生じていた。新たに追加するキャビネット機能では、契約書類と閲覧者を適切に管理できるようになるとしている。 Source: 電子契約クラウド「クラウドサイン」の開発ロードマップ、当事者間の電子署名も可能に
